KURRENT LICENSED SOFTWARE ADDENDUM

This Kurrent Licensed Software Addendum (this “Addendum") is entered into in connection with the Kurrent Enterprise Master Agreement Terms and Conditions located at https://www.kurrent.io/terms/agreements/master_agreement (the “Master T&Cs”) and sets forth additional terms and conditions related to Customer’s purchase of a subscription to any Licensed Software.  Capitalized terms not defined in this Addendum shall have the meanings set forth in the Master T&Cs.

1. Licensed Software

1.1 License.  Subject to this Agreement (including the applicable Order Form), Kurrent hereby grants Customer a non-sublicensable, non-exclusive right and license to install and use the Licensed Software for its internal business purposes (limited to the applicable metrics set forth in such Order Form) during the applicable subscription term. 

1.2 Additional Usage.  During the applicable subscription term, Customer may elect to use additional capacity that exceeds the quantity of the applicable metrics set forth in the applicable Order Form. In such case, Customer must notify Kurrent or its Kurrent Partner, as applicable, of its elected use of such additional capacity and the fees for such additional capacity/usage will be calculated for the period commencing immediately upon: (a) the installation date of the additional nodes or other metrics and (b) the date when nodes or other metrics increased (whether used or not).  Unless otherwise agreed in the Order Form, the subscription term of the additional capacity will be pro-rated such that it will terminate on the same date as the existing subscription term of such Order Form.

1.3 Expiration/Termination.  Upon expiration or termination of an Order Form for Licensed Software, Customer will destroy any copies of Licensed Software provided under such Order Form.
